Authentidate Holding Corp. (Nasdaq: ADAT) announced today that it intends to adjourn its Annual Meeting of Shareholders. The Annual Meeting, which is currently scheduled to be held at 10:00 a.m. on February 11, 2004, will be convened for the purpose of scheduling the adjournment date. The meeting will be held at the Desmond Hotel in Albany, New York, located at 660 Albany Shaker Road, Albany, New York. The adjournment time and date for the Annual Meeting will be March 4, 2004 at 1:00 p.m. The meeting will continue to be held at the Desmond Hotel in Albany, New York.

The Company has determined to adjourn the Annual Meeting to ensure that its shareholders receive adequate notice of additional information about the recently completed private placements that the Company announced earlier today.
